Our Corporate Governance Framework is aligned with international standards and practices to ensure proper checks and balances and to ensure future sustainability.

We are mindful that these principles are critical to achieving our vision and earning and retaining the respect and trust of our key stakeholders and interested parties including customers, employees, suppliers and the community as a whole.

We will achieve this through setting and meeting ever-higher sustainability targets, improving conditions for our people to ensure we are an employer of choice, and enhancing the environment for the benefit of our community.

In our commitment to the best principles of corporate governance, Sheppard Earthmoving has established a comprehensive framework which directs our approach to sustainability, including Corporate Governance Procedures, a Code of Business Conduct and Ethics and a Compliance Program, and is authorised by the company’s leadership team. The framework underlines our commitment to enhancing our competitiveness whilst operating a sustainable business model. It is underpinned by strict adherence to meeting all applicable legal requirements and the adoption of best industry standards relating to Sustainability, Risk, Quality, Environment, Health and Safety and Asset Management.

Leadership

Behind good corporate governance is good corporate leadership.

Sheppard Earthmoving’s leadership team are strongly committed to the highest standards of corporate governance. Ross and Leesa Sheppard are committed to providing leadership in the governance of our organization and seek to set and maintain the highest standards of ethics, while building exceptional long-term value for our stakeholders.

The leadership team are responsible for the ultimate direction, strategic supervision and control of the management of the Company, as well as other matters which, by law, are under its responsibility. This includes the establishment of long-term strategies and of directives defining company policies and the giving of the necessary instructions. All other areas of management are delegated to the General Manager and the Management Review Committee.

Management Review Committee

The Management Review Committee, under the leadership of the General Manager, is responsible for the stewardship of Sheppard Earthmoving, and for the supervision of the management of business affairs of Sheppard Earthmoving.

The General Manager, subject to the powers attributed to the position, has the task of achieving the strategic objectives of the Company and determining the operational priorities. In addition, the position leads, supervises and coordinates the other members of the Management Review Committee, including convening, preparing and chairing the meetings of the Management Review Committee.

Ethics and Values

We believe that the ethical performance of this company is the sum of the ethics of our people and, we are committed to high ethical standards in business conduct and to compliance with the laws, regulations and internal policies.

To this end, we aim to constantly improve the quality of our services and operations and create a reputation for honesty, respect, responsibility, trust and sound business judgement. We shall conduct all business transactions in a proper, fair, impartial, and ethical manner, avoiding even the appearance of impropriety. This includes all our relations with customers, suppliers, employees, competitors, government agencies and the communities in which we operate.

Our Codes of Conduct set out this commitment and underline our ambition to create an environment where trust and confidence is integral to all our endeavours. Rooted in our Values, the Codes establish an ethical framework of expected behaviours, focus attention on areas of ethical risk, provide guidance to help recognize and deal with ethical issues, help to foster a culture of honesty and accountability and assists in the achievement of our vision. Our various stakeholders rely on us to act with integrity and honesty, and in accordance with the principles of ethical business at all times. Therefore, under the leadership of top management, we shall thoroughly implement our Codes of Conduct to ensure that all our business activities are conducted on this basis of corporate ethics and compliance. In addition, we seek business partners who share our values and standards of conduct, and expect that our suppliers, agents and business partners will conduct themselves in a manner consistent with the Codes when acting for, on behalf or in the name of Sheppard Earthmoving.
